By accessing or using Adaptrix's AI-powered business intelligence platform ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

1. Service Description

Adaptrix provides an AI-powered business intelligence platform that enables organizations to:

•Connect and integrate multiple data sources
•Analyze data using artificial intelligence and machine learning
•Generate automated insights and recommendations
•Create interactive dashboards and visualizations
•Collaborate on data-driven decision making

Service Levels: We offer different subscription tiers (Starter, Professional, Enterprise) with varying features and support levels as described on our pricing page.

2. Account Terms

Registration Requirements

•You must be 18 years or older to use this Service
•You must provide accurate, complete, and current registration information
•You are responsible for maintaining the security of your account credentials
•You must notify us immediately of any unauthorized access or security breach

Account Responsibilities

You are responsible for all activities under your account
You must comply with all applicable laws and regulations
You may not use the Service for any illegal or unauthorized purpose

3. Acceptable Use Policy

You agree NOT to:

Prohibited Activities

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Attempt unauthorized access
• Harass or harm other users

Technical Restrictions

• Reverse engineer the Service
• Exceed usage or rate limits
• Scrape or data mine the platform
• Resell or redistribute the Service
• Bypass security measures

Violation Consequences

Violation of this policy may result in immediate suspension or termination of your account without refund.

4. Payment Terms

Subscription Billing

•Billing Cycle: Monthly or annual, based on your selection
•Auto-Renewal: Subscriptions automatically renew unless cancelled
•Payment Methods: Credit card, debit card, or invoice (Enterprise only)
•Currency: All prices are in EUR unless otherwise stated

Refund Policy

✓14-Day Money Back: Full refund within 14 days of initial purchase
✓Pro-Rated Credits: For downgrades or mid-cycle changes
✓No Refunds: For used API calls or consumed resources

Price Changes

We may modify pricing with 30 days notice. Price changes will take effect at your next renewal. You may cancel your subscription before the change takes effect.

5. Intellectual Property

Your Content

•You retain all rights to your data and content
•You grant us license to process your data to provide the Service
•You are responsible for having rights to use uploaded content

Our Property

•Adaptrix platform, software, and documentation
•AI models, algorithms, and analytical methods
•Trademarks, logos, and brand materials

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.

6. Data Processing & Privacy

Data Protection

We process your data according to our Privacy Policy and applicable data protection laws including GDPR and CCPA.

Data Processing Agreement

Enterprise customers may request a separate Data Processing Agreement (DPA) for additional guarantees.

Security Measures

We maintain industry-standard security measures including encryption, access controls, and regular audits.

7. Warranties & Disclaimers

Service Warranty

We warrant that the Service will perform substantially as described in our documentation. If it doesn't, we'll work to fix it or provide a refund.

Disclaimer: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitations

•We do not guarantee uninterrupted or error-free service
•AI insights are probabilistic and should be verified
•We are not responsible for third-party integrations

8. Limitation of Liability

Maximum Liability

IN NO EVENT SHALL ADAPTRIX'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

We shall not be liable for:

•Indirect, incidental, special, or consequential damages
•Lost profits, revenue, or business opportunities
•Data loss or corruption (maintain your own backups)
•Third-party actions or content

9. Indemnification

You agree to indemnify and hold Adaptrix harmless from any claims arising from:

Your use of the Service
Violation of these Terms
Infringement of third-party rights
Your content or data

10. Termination

You May Terminate

• Cancel subscription anytime
• Request account deletion
• Export your data before termination

We May Terminate

• For Terms violation
• For non-payment
• With 30 days notice for any reason

Effect of Termination: Upon termination, your access to the Service will cease immediately. We will delete your data within 90 days unless legally required to retain it.

11. Governing Law & Disputes

Governing Law

These Terms are governed by the laws of Spain and the European Union, without regard to conflict of law principles.

Dispute Resolution

We prefer to resolve disputes amicably. Contact us first at [email protected]. If unresolved, disputes will be settled through binding arbitration in Palma, Spain.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

12. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Adaptrix.

Severability

If any provision is invalid, the remaining provisions continue in effect.

Assignment

You may not assign these Terms. We may assign them without restriction.

Waiver

Failure to enforce any right does not waive future enforcement.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

•Email notification to your registered address
•In-app notification when you log in
•30 days notice for material changes

Continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with changes, you may terminate your account.
